Terms of Service

1. Acceptance of Terms

By accessing or using PulseTech services, including PulseLMS ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.

PulseTech is a division of PJL Telecom LLC ("PulseTech," "we," "our," or "us"). These Terms constitute a legally binding agreement between you (whether personally or on behalf of an organization) and PJL Telecom LLC regarding your use of the Service.

2. Description of Service

PulseLMS is a learning management system designed for online communities. The Service allows you to:

• Create and manage training courses with video, text, and quiz content
• Track member progress and certifications
• Organize departments and learning paths
• Issue certificates upon course completion
• Customize branding and platform settings
• Link accounts via Discord bot integration

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to active subscribers.

2.1 Discord Bot Integration

PulseTech provides a Discord bot that enhances the Service by:

• Account Linking: Connecting your Discord account to your PulseLMS profile
• Role Management: Automatically assigning Discord roles based on course completions, certifications, or other achievements
• Support Tickets: Facilitating support communication through Discord ticket channels

Use of the Discord bot is subject to both these Terms and Discord's Terms of Service. You must have permission to add the bot to any Discord server you manage.

3. Account Registration

To use PulseLMS, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

You must be at least 18 years old to create an account. If you are creating an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Subscription Plans and Payment

4.1 Billing

PulseLMS is offered as a subscription service. By subscribing, you agree to pay the applicable fees for your selected plan. All payments are processed securely through Stripe.

• Subscription fees are billed in advance on a recurring basis (monthly or as specified in your plan)
• Setup fees, where applicable, are billed as a one-time charge
• Add-on services are billed according to their stated terms (monthly or annually)

4.2 Commitment Terms

Some plans require a minimum commitment period (e.g., 6 months or 12 months). Early cancellation of commitment plans may result in forfeiture of commitment-based discounts.

4.3 Price Changes

We reserve the right to change pricing with at least 30 days advance notice to active subscribers. Price changes will take effect at your next billing cycle after the notice period.

4.4 Refunds

Refunds are evaluated on a case-by-case basis. We may refund service fees under certain circumstances, however:

• Setup fees are non-refundable once work has been completed or substantially begun
• Content creation fees (Hybrid and Full-Service plans) are non-refundable for completed work
• Subscription fees may be prorated for unused portions of the current billing period
• Add-on purchases (such as domain registrations) are non-refundable as they represent actual costs incurred

If you are unsatisfied with the Service within the first 14 days of your initial subscription and before any setup work has begun, you may request a full refund by contacting support. After setup work begins, refund eligibility will be assessed based on work completed.

5. Storage and Resource Usage

Reasonable usage is determined by factors including but not limited to:

• Total storage used for uploaded files, videos, and documents
• Number of active users relative to your plan limits
• Bandwidth consumption
• Database usage

We will work with you to find a suitable solution before applying any additional charges.

6. Acceptable Use

You agree to use PulseLMS only for lawful purposes. You may not:

• Upload content that infringes intellectual property rights
• Distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Service to harass, abuse, or harm others
• Resell or redistribute the Service without authorization
• Use automated systems to scrape or extract data
• Violate any applicable laws or regulations

6.1 Discord Bot Acceptable Use

When using the PulseTech Discord bot, you additionally agree not to:

• Abuse the bot commands or spam interactions
• Attempt to exploit the bot to gain unauthorized roles or access
• Use the ticket system for purposes other than legitimate support requests
• Share or expose bot tokens or integration credentials

We reserve the right to suspend or terminate accounts that violate these terms.

7. Content Ownership and Licensing

7.1 Your Content

You retain full ownership of all content you create, upload, or input into PulseLMS ("Your Content"). This includes courses, quizzes, documents, videos, and any other materials.

7.2 License to PulseTech

By uploading content to PulseLMS, you grant us a limited license to host, store, display, and transmit Your Content solely as necessary to provide the Service to you and your authorized users.

7.3 PulseTech Property

The PulseLMS platform, including all software, designs, features, and documentation, is owned by PulseTech and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive license to use the Service, not ownership of any PulseTech property.

8. Data and Privacy

Your privacy is important to us. Please review our Privacy Policy for information about how we collect, use, and protect your data.

You are responsible for ensuring that your use of PulseLMS complies with applicable data protection laws, particularly if you collect personal information from your community members.

9. Service Availability

We strive to maintain high availability of PulseLMS but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency maintenance or security updates
• Factors outside our control (internet outages, third-party service failures)

We are not liable for any losses resulting from service interruptions.

10. Limitation of Liability

To the maximum extent permitted by law:

• PulseLMS is provided "as is" without warranties of any kind, express or implied
• We do not warrant that the Service will meet your specific requirements or expectations
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim

11. Indemnification

You agree to indemnify and hold harmless PulseTech from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

12.1 By You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

12.2 By PulseTech

We may suspend or terminate your account if you violate these Terms, fail to pay fees when due, or engage in conduct that we determine is harmful to the Service or other users. We will provide notice before termination except in cases of serious violations.

12.3 Effect of Termination

Upon termination, your access to PulseLMS will cease. You may request an export of Your Content within 30 days of termination. After this period, we may delete Your Content from our systems.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of PulseLMS after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through good-faith negotiation, and if necessary, through binding arbitration.
